General Terms and Conditions

These General Terms and Conditions ("GTC") apply to the use of Suitsupply (hereinafter referred to as "Suitsupply" or "we") in mainland China (excluding Hong Kong SAR, Macau SAR and Taiwan) through Shanghai Suitsupply China Ltd. ("Suitsupply" or "Merchant") attach great importance to the protection of Suitsupply's "official website", which is hereinafter referred to as the "official website" containing Suitsupply (https://suitsupply.com/zh-cn) and all product purchases made by users of the Suitsupply’s WeChat Miniprogram. Ltd. is referred to as "Suitsupply" or "Merchant" in these General Terms and Conditions. By accessing the Site, you agree to be bound by these General Terms and Conditions. Please also see Suitsupply's Privacy Statement. If you do not agree to these General Terms or the Privacy Statement, please do not use this Site. These Terms and any matters referred to in the Return Instructions and Sales Slips constitute the entire understanding between you and the merchant and supersede any prior promises, representations or warranties made.

Article 1 - Definitions

The following definitions apply in these GTC.

  1. Consumer: a natural person who purchases or uses goods or receives services for the purpose of subsistence consumption and who does not perform the relevant acts for purposes related to trade, profession or business processes.
  2. Day: calendar day;
  3. Digital Content: information generated and provided in digital form.
  4. Distance Contract: a contract concluded between a merchant and a consumer within the framework of a system organized for the remote sale of products, digital content and/or services, in which one or more remote communication technologies are used, individually or in part, up to (and including) the time of conclusion of the contract.
  5. Durable Medium: means (including e-mail) that enable consumers or merchants to store information in a manner that facilitates future use or consultation, for a period consistent with the purpose of the information, and to facilitate unaltered reproduction of the stored information.
  6. Products: any products offered by the merchant online (https://suitsupply.com/zh-cn/)
  7. Privacy Statement: the policy regarding privacy established by the merchant and referenced on its website.
  8. Supplementary Agreement: an agreement by which a consumer obtains products, digital content and/or services through a remote contract, and the merchant or third party delivers such products, digital content and/or services pursuant to an agreement between the two.
  9. Technique for Distance Communication: a means of communication that can be used for merchant offers and contracting, without the consumer and the merchant having to be in the same place at the same time.
  10. Merchant: a natural or legal person who delivers products, (access to) digital content and/or services to consumers remotely.

Article 3 - Applicability

  1. These General Terms and Conditions apply to each offer made by the merchant and to each realized remote contract between the merchant and the consumer.
  2. Please check through this website whether the products can be ordered through the website. Not all products that appear in the merchant's catalog, this website, advertisements and other public materials can be ordered through this website.
  3. Prices for products on this website are in Chinese Yuan (RMB) and include applicable taxes and fees. Shipping is free for the entire China network.
  4. Merchants may only fulfill orders at their delivery address in mainland China. The products offered can only be delivered in mainland China.
  5. For consumers residing outside of the above mentioned countries/regions, the online ordering service for products is only available if the delivery address for the order is located in the above mentioned countries/regions. By placing an order, you confirm that you are a customer in mainland China. You should be 18 years of age or older to place an order.
  6. A copy of these General Terms and Conditions will be provided to the consumer prior to the conclusion of the remote contract. If this is not reasonably practicable, then the Merchant will indicate how the General Terms and Conditions can be accessed on the Merchant's premises prior to the conclusion of the remote contract and will send it to the Consumer free of charge as soon as possible upon request.
  7. If the remote contract is concluded in electronic form, then, contrary to the previous paragraph, the text of these General Conditions will be made available to the consumer in electronic form prior to the conclusion of the remote contract so that the consumer can store it on a persistent medium. If this is not reasonably practicable, then prior to the conclusion of the remote contract, the merchant will indicate the means of accessing the electronic version of the General Terms and Conditions and will send it to the consumer free of charge, electronically or otherwise, at the consumer's request.

Article 4 - The offer

  1. If the offer is subject to a validity period or appropriate conditions, this will be explicitly mentioned in the offer.
  2. The offer contains a complete and accurate description of the products, digital content and/or services offered. Such description should be sufficiently detailed to allow the consumer to make a proper assessment of the offer. Obvious errors or mistakes in the quotation shall not be binding on the merchant. Suitsupply shall not be liable to you for any unavailability or inaccuracy of the price quoted or other misdescription of the products to be ordered during the shopping process, which may result in the order not being accepted, and the merchant will notify you as soon as possible and will refund all monies paid by you for the products.
  3. The offer contains the rights and obligations of the consumer in relation to the acceptance of the offer so that he or she is clearly informed.
  4. Method of Payment. Payment must be made by WeChat or Alipay (provided that you are the legal holder of a WeChat or Alipay account and you are domiciled in mainland China) or other payment methods available from time to time on the Site prior to shipment of Products to you. The payment amount must be in RMB.
  5. Merchants may provide you with an invoice. If you need an invoice, you can contact our customer service within [7] seven days after receiving the product.

Article 5 - The Contract

  1. A contract between Suitsupply and you are formed when you submit an order and complete payment, which constitutes a binding offer to purchase the Products ordered under these General Terms and Conditions, and Suitsupply accepts your order submitted through the Site by sending a confirmation SMS or WeChat message or email and you receive notice of acceptance. Once an order has been paid for, you will not be able to amend or cancel it on the page. If you are sure you need to modify/cancel your order, please contact the merchant. In the event that your order is not shipped, the merchant will make every effort to accommodate your amendment/cancellation request.
  2. You agree that the information you provide in your order is true, accurate and not misleading in all respects. If the information you provide is untrue, incomplete or inaccurate and the merchant is unable to provide the appropriate service, you are solely responsible for all losses incurred as a result. The products you order from the Site are for your personal use only. If the merchant discovers that the products you ordered from the Site are being used for distribution purposes or resold to other consumers, the merchant reserves the right to refuse to accept your order, cancel the contract or close your account.
  3. If the contract is concluded electronically, the Merchant will take appropriate technical and organizational measures to ensure that the electronic transmission of information takes place in a secure network environment. If the consumer is able to pay electronically, the merchant will take appropriate security measures.
  4. The merchant may obtain information within the statutory framework about the consumer's ability to fulfill his payment obligations and about facts and factors that are important for the responsible conclusion of a remote contract. If on the basis of such information the merchant has appropriate grounds for refusing to conclude a contract, then it is entitled to refuse orders or applications or to enforce special conditions in justified cases.

Article 6 - Return and exchange of goods

  1. Subject to applicable law, you have the right to change your mind and cancel the Contract and return the Products for a refund within thirty (30) days from the date of receipt of the Products, provided that
    1. You must return the Products in their original packaging (e.g., box, bag, etc.) and in their original quality, functional, intact and saleable condition, with all relevant accessories, trademark identification, instructions, labels, freebies (if any), and sales documents; no returns will be accepted without cause if the goods are stained, damaged or have been washed or worn, or have been advised of defects at the time of sale A.
    2. and paper invoices (if requested); and
    3. The return policy also applies to Custom Made orders. If you would like to return or exchange a Custom Made item, please contact a customer service representative.
    4. Free items, if any, must be returned with the order.
  2. Merchants do not support online self-help returns at this time. If you are exercising your right to return an item in accordance with Section 6.1, please contact the merchant. Service hours: Monday to Friday: 9:00 to 18:00 BST; Saturday and Sunday: 10:00 to 18:00 BST (Online service hours for legal holidays will be adjusted and notified). The specific process is as follows.
    1. Step 1: Contact the merchant and provide the order number, return quantity, specific goods number and the reason for the return.
    2. Step 2: The merchant confirms the return order and provides the return address and return notes.
    3. Step 3: Contact logistics and delivery, return the returned goods with the relevant proof of purchase to the return address specified by the merchant. Please contact the merchant after sending, inform the return of goods courier number.
    4. Step 4: The merchant signs for the merchandise and inspects it to confirm that it is in good condition and conforms to the return rules.
    5. Step 5: Your refund will be returned to the original order payment account within seven (7) business days after the returned merchandise has been inspected and accepted.
  3. For returns within thirty (30) days for reasons other than product quality, and for returns due to product quality issues or merchant service issues, the return shipping costs will be borne by Suitsupply. Please contact the merchant for details on how to do this. Refunds will be made in accordance with the payment method used to purchase the product after the product has passed the inspection specified in Section 8.1. The amount of the refund will be the amount you actually paid at the time of purchase, less the discount.
  4. If you do not allow the Merchant to collect the Products in accordance with these Terms after notifying the Merchant of your decision to cancel the Contract, the Merchant will not be able to accept returns or refunds.
  5. Except as otherwise provided by law or regulation, the Merchant supports exchanges.

Article 7 - Consumers’ obligations during the return Period

  1. During the return period, the consumer shall treat the product and its packaging with care. He or she may only open or use the product to the extent necessary to assess the nature, characteristics and efficacy of the product. In other words, the consumer may only handle and inspect the product in the same manner as permitted by the store.
  2. The consumer shall be liable only for any devaluation of the product resulting from his handling of the product in a manner other than that necessary for the purposes permitted by paragraph 7.1.

Article 8 - Consumers who exercise their right of return and the costs involved

  1. As far as reasonably practicable, the consumer returns the product and all related accessories in their original condition and packaging in accordance with reasonable and clear instructions provided by the merchant. You may not remove any labels from the returned Products. Returned Products will be inspected by Merchant to ensure that they are in good and merchantable condition and comply with Section 6.1. Any Products that do not pass inspection will be returned to you and you will not receive a refund for the Products. Please take care of the products.
  2. The consumer assumes the risk and the burden of proof for the proper and timely exercise of the right of return. For the avoidance of doubt, the rights set forth in Section 6 apply only to products you order through the Site and not to products purchased at a merchant's store, and you may also visit any Suitsupply store for an immediate return for a refund or exchange. Except as stated above, Suitsupply is not responsible for the risk of damage to or loss of products returned to Suitsupply through no fault of Suitsupply's. Suitsupply will cover the cost of return shipping, and if you need to exchange a product, the merchant will cover the cost of shipping for your first exchange, and you will be responsible for the cost of shipping for multiple exchanges on the same order. Suitsupply shall not be liable for any risk of damage or loss caused by Suitsupply's fault during the return of the Products.

Article 9 - Precluding the right of return

  1. After delivery of the Products, Merchant will not accept returns in any of the following cases.
    1. Products manufactured according to specifications specified by the consumer, where such products are not prefabricated, but are manufactured according to a specific choice or decision of the consumer or are clearly manufactured for a specific subject.
    2. Sealed products which, for reasons of health protection or hygiene, are not suitable for withdrawal and whose seal has been broken after delivery.
    3. Products which by their nature have been irreversibly mixed with other products.

Article 10 - Supply and implementation

  1. Merchant will exercise the utmost care in accepting and fulfilling orders for products and in evaluating applications for the provision of services.
  2. Suitsupply's delivery area covers mainland China only. Purchased products are delivered by Suitsupply's selected courier service provider ("Courier"). You can check the status of your order by logging into your account. Click on the relevant order to view the order details. Any delivery date or time specified by the merchant is a best estimate only and the merchant shall not be liable to you for any loss or damage suffered by you as a result of any reasonable or unavoidable delay in delivery.
  3. The place of delivery is deemed to be the address provided by the consumer to the company. Products shall be delivered to the address stated in your order. Suitsupply refuses to use any freight forwarder's post office box or address as the delivery address. If no one at the address provided is available to receive delivery of the Products, you must contact the Merchant to arrange for delivery of the Products on an alternative delivery date. If you cannot be contacted within fifteen (15) days from and including the date the Merchant notifies you that the Products have been shipped, the order will be cancelled and the purchase amount for the undelivered Products will be automatically refunded in the same manner as the payment for the Products you purchased.
  4. In view of the provisions of Article 4 of these General Terms and Conditions, the Company will fulfill accepted orders as soon as possible, but at the latest within 30 days, unless otherwise agreed on the delivery period. If delivery is delayed, or if delivery is not possible, or only partial delivery is possible, this will be communicated to the consumer within 30 days of the order being placed. In this case, the consumer is entitled to rescind the contract without liability and is entitled to possible compensation for damages. Merchant shall not be liable to you for any failure or delay in the performance of any of Merchant's obligations to you due to any cause beyond Merchant's reasonable control, including, but not limited to, acts of God, explosions, floods, fires or accidents; public health emergencies, epidemics; war or civil unrest; strikes, labor actions or lockouts; government intervention of any kind; your failure to provide Merchant with a correct delivery address or failure to notify Merchant of any change of address.
  5. Merchant will notify you within seven (7) days of the occurrence of any such unforeseen or force majeure event and will schedule a new delivery date after the conclusion of the relevant event. If such interruption continues for a period of more than two (2) weeks, you will have the right to cancel the order. To further cancel an order under this section, please contact the Merchant via the relevant contact details.
  6. Upon cancellation under the preceding paragraph, the Merchant will refund the amount paid by the Consumer within [7] days.
  7. Unless otherwise expressly agreed, the risk of damage to and/or loss of the Products is borne by the Merchant until the Products are delivered to the Consumer or the Consumer's designated representative and the Merchant is notified. Title to the Products and risk of damage to the Products shall pass to you upon delivery of the Products by the Merchant to the address you have provided to the Merchant.
  8. Upon delivery of the Products by courier, you or a third party designated by you shall verify that
    1. That the number of items delivered is the same as the number listed on the delivery note.
    2. the Products delivered are consistent with the Product codes, dimensions and other Product specifications under the relevant order and are free from obvious defects such as cracks, scratches, missing buttons or color differences or color shifts; and
    3. the packaging and its seals are intact, undamaged, free from moisture or altered in any way.
    4. Where there is any damage to the packaging and/or products, or where the products do not conform to the relevant order or there are any obvious defects, or where there is a discrepancy in the quantity of goods or documents, you must immediately make a written statement on the courier's delivery note. Once you have signed the courier slip and have not raised any objections, you may not raise any objections to the products delivered. If the package is found to be damaged when you sign for it, you have the right to reject the product and please contact the merchant. In case of damage to the product, please contact the merchant.

Article 11 - Deviations

The Merchant cannot guarantee that the color, size and/or text of the Products displayed on the Website will be exactly the same as the Products delivered by the Merchant to the consumer.

Article 12 - Privacy

Personal data provided by the consumer for the purpose of placing an order will be processed in accordance with the Privacy Statement.

The Site may provide you with the opportunity to submit, post or display content such as comments, feedback, suggestions, ideas, opinions, messages, photographs, images, text, materials, information, data, notes, graphics, designs or any other communication or content (collectively, "Content"). By submitting Content on the Site, you represent that: (i) you have or have unencumbered and transferable rights and licenses to the Content you submit, including, without limitation, the right of publicity; (ii) you have obtained permission from all persons appearing in the Content you submit to grant the rights granted herein; (iii) use of the Content contained herein will not violate any law or infringe any third party (iv) you are at least 18 years of age; and (v) if any of the children to whom you submit Content are still minors in their country or locality, you have obtained written permission from their parents or guardians to use photographs or images of such children for commercial purposes.

By submitting Content to the Site, you automatically grant Suitsupply and its third party service providers and suppliers the right and license to use the Content and your personal image, likeness, user name, real name, title, location or other identifying information in connection with your Content, in any manner or media, whether existing or to be developed in the future, for lawful purposes only (including, without limitation, any (including, without limitation, any commercial advertising), and the foregoing license and permissions are perpetual, worldwide, unrestricted, irrevocable, transferable, assignable, royalty-free and fully paid, including, without limitation, the right to display, reproduce, modify, transform, distribute, transfer the Content, create derivative works based on the Content, exploit the Content for profit and sublicense the Content to third parties for their lawful applications and uses. You waive any copyright rights you or your licensors may have in any Content in accordance with applicable law, and Suitsupply has no obligation to post or publish any Content you provide.

Although third party content or content submitted by you may be posted on the Site, such posting does not constitute an endorsement of the content by Suitsupply. Suitsupply will not be liable for claims for loss of or damage to real property, tangible property or intellectual property, invasion of privacy or right of privacy, actual, consequential or punitive damages, personal injury, accidental death, etc., related to Third Party Content or Content submitted by you.

In the course of visiting a merchant's website, you may be linked to a website operated by a merchant's business partner or other third party. This does not imply that the merchant is endorsing such sites. the merchant makes no representations or warranties, and has no control over, and assumes no responsibility for, the information or activities of any other websites that you may access through the websites under these general terms and conditions.

Article 13 - Intellectual Property

The Merchant owns all intellectual property rights relating to the Products. When you access and browse the Site, your use of the Site is subject to applicable laws regarding the ownership and use of intellectual property rights, including but not limited to Suitsupply's trademarks and copyrights.

Article 14 - Liability

  1. To the extent permitted by law, the merchant will exclude all liability for any damages incurred by the consumer if the consumer is unable to obtain the products ordered and/or the products in question are not delivered (on time).
  2. Without prejudice to the provisions of Article 15.1 and to the extent permitted by law, the Merchant's liability will be limited to the maximum purchase price of the Products in question.
  3. In addition to the other prohibitions set forth in these General Terms, you are prohibited from using the Site or any Content for any reason other than, but not limited to, (a) any unlawful purpose; (b) violation of any domestic or foreign laws, rules and regulations; (d) infringement or violation of the intellectual property rights of the Merchant or others; (e) harassment, abuse, insult, injury, defamation, libel, slander, or other violation of any law or regulation relating to gender, sexual orientation, religion, race, ethnicity, age, nationality, or disability. (f) submit false or misleading information; (g) upload or transmit viruses or other malicious code of any kind that affects or may affect the functionality or operation of the Site, other websites or the Internet under these General Terms; (h) collect or track personal information about others; (i) spam, phishing, domain spoofing, spiders, web spiders, web pages, or web sites; or (j) use or distribute any other form of information that is false or misleading. (i) spamming, phishing, domain spoofing, web spiders, web crawlers, or page scrapers; (j) any morally objectionable or immoral purpose; or (k) interfering with or circumventing the security features of the Site, other sites, or the Internet under these General Terms. The foregoing is not exhaustive. If you use the Site for any prohibited purpose, Merchant reserves the right to terminate your use as described above.
  4. The Merchant endeavors to provide complete, accurate and up-to-date information on the Merchant's Site. Nevertheless, human or technical errors may occur. The Site may contain typographical errors, inaccuracies or omissions, and some information may be incomplete or not up-to-date. merchant makes no warranty as to the accuracy, suitability, reliability, completeness, performance, suitability, freedom from viruses, or timeliness of the content or services contained on this site. Merchant reserves the right to correct errors or change information at any time (without prior notice).
  5. Merchant makes no representations or warranties of any kind, express or implied, with respect to the site, the site content or the information available on or through the site; such content and information is provided "as is", including all errors contained therein. except as otherwise provided by applicable law, merchant shall not be liable for any damages arising out of or in connection with the use of the website, the content of the website, or any other website to which it is linked. this limitation of liability applies to direct, indirect, consequential, special, punitive or other damages that may be incurred by you or others, as well as damages related to lost profits, lost business opportunities, business interruption, loss of data or information, even if merchant has prior notice of the possibility of such damages. your use of the site is at your own risk.
  6. Merchant reserves the right to change these terms and conditions at any time. The most current version of these Terms of Use is available on the Site. The revised Terms will be effective immediately upon posting on the Site. Your order of products through the Site is subject to the version of these Terms in effect at the time of your order. If any provision of these Terms is deemed invalid, void or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any other provision.

Article 15 - Force Majeure

  1. In the event of force majeure, Merchant shall be entitled to suspend all of its obligations under the Supplement. Force majeure events include strikes, breakdowns, illness or import/export bans imposed on the Merchant or third parties engaged by the Merchant.
  2. Except as otherwise provided herein, either party shall be entitled to terminate the Supplementary Agreement without payment of any damages if it is clear that the force majeure will continue for more than two months.

Article 16 – Questions and Complaints

  1. If there are any questions or need any information, the user can contact the service department by phone (40012 08725) or email (service@suitsupply.com).

  2. If the consumer is not satisfied with the product or any other product and/or service provided by the merchant, the consumer may complain to the service department by telephone (40012 08725) or by e-mail (service@suitsupply.com). Provided that this is done within seven (7) calendar days after the consumer discovers or should reasonably have discovered the grounds for the complaint.

Article 17 - Governing Law and Competent Court

  1. These General Terms and Conditions and the Supplemental Agreement are governed by the laws of China. By accessing the Merchant Site, you agree that if there is any dispute between you and Suitsupply or any of its affiliates, subsidiaries, agents, employees, former equity holders, successors and assigns regarding your access to and use of the Merchant Site, or any dispute or claim regarding the Privacy Statement, these General Terms or any products or services sold or distributed by or through the Merchant Site, regardless of The laws of the People's Republic of China shall apply regardless of the type, excluding the application of conflict of laws.

  2. Any and all disputes arising out of or relating to these General Terms will be brought before a court of competent jurisdiction in the merchant's location.
